Marketplace Seller Agreement

This Marketplace Seller Agreement ("Seller Agreement") supplements the So You Sew Terms of Service. It applies to anyone who lists or sells goods through the So You Sew marketplace ("Seller", "you"). By tapping "I agree" in seller onboarding, by activating a listing, or by accepting payment through Stripe Connect, you agree to this Seller Agreement.
If you do not agree, you may not list or sell on the marketplace.
1. Independent seller
You are an independent seller, not an employee, agent, partner, joint venturer, or franchisee of So You Sew. So You Sew is not a party to your sales. You set your prices, write your listings, control your inventory, and ship your own goods. So You Sew is the platform that connects you with buyers and processes payment through Stripe Connect; it is not the merchant of record for your sales beyond what Stripe Connect requires.
2. Eligibility
To sell, you must (a) be at least the age of majority in your jurisdiction, (b) have completed and remain in good standing with Stripe Connect identity verification ("KYC") for an Express account in your name or your legal entity's name, (c) not be on any U.S. or other applicable sanctions list, and (d) be lawfully entitled to sell the items you list.
3. Listings — accuracy and fitness
For every listing you publish, you represent and warrant that:
- The item is legally salable by you in the buyer's jurisdiction and yours.
- The item is not on the prohibited items list in the Community & Marketplace Rules.
- The photos, title, description, dimensions, condition, materials, and origin are accurate and not misleading.
- You own the item or have authority to sell it, and the sale does not infringe any third-party intellectual property right (including patterns, fabric prints, trademarks, and logos).
- The item is safe for its intended use and not subject to an active recall.
- You have collected, and will collect, any required disclosures in your jurisdiction (e.g., textile labeling, lead in children's items, hazardous materials).
4. Fulfillment obligations
Unless your listing specifies a longer handling time, you agree to:
- Ship within 5 business days of payment.
- Provide a valid carrier and tracking number for orders ≥ $50 (and recommended otherwise) at the time you mark the order shipped. Fake or recycled tracking numbers will result in immediate listing removal and may trigger a permanent suspension.
- Provide a shipping-proof photo (label or packed parcel) for orders ≥ $200.
- Pack securely so the item arrives in the condition described.
- Update the buyer through the in-app messaging or order screen if there's a delay; significant delays without notice are grounds for buyer refund.
- Honor cancellations requested before you mark the order shipped, where reasonable.
5. Pricing, fees, and taxes
- Platform fee: So You Sew currently charges 5% of subtotal plus shipping on each completed transaction. Stripe card-processing fees apply on top of the platform fee. Both are deducted before payout. We may change fees with 30 days' notice; changes do not apply to in-flight orders.
- Taxes: You are responsible for determining whether you must collect and remit sales tax, VAT, GST, customs duties, or any other tax, and for actually doing so. So You Sew does not act as a marketplace facilitator for tax purposes unless we explicitly opt in for a jurisdiction and disclose it to you.
- Currency: Prices are USD unless otherwise specified.
6. Payouts — manual schedule and platform holds
Your Stripe Connect Express account is configured by So You Sew with a manual payout schedule, which means funds settle to your Stripe balance when the buyer pays but do not transfer to your bank until So You Sew releases the payout for that order. Release rules:

If the buyer does not confirm delivery within 30 days of you marking the order shipped, payout is held pending review.
We may extend, freeze, or reverse a payout when we have reasonable grounds to investigate fraud, non-delivery, misrepresentation, a buyer dispute, a Stripe chargeback, or a violation of these Agreements; or when required by law. You authorize So You Sew to instruct Stripe to debit your Stripe balance, reverse transfers, and refund buyers in connection with such investigations or resolutions. We will tell you when we hold a payout and why, except where law or investigative necessity requires otherwise.
7. Disputes and refunds
You agree to follow the Refund & Dispute Policy, including:
- Responding to buyer messages within 48 hours.
- Following the platform-mediated escalation flow rather than encouraging buyers to chargeback.
- Honoring So You Sew's final dispute decision; the platform may issue full or partial refunds from your Stripe balance, reverse the original transfer, and adjust the application fee accordingly.
8. Off-platform and circumvention
You may not solicit buyers to transact off-platform to avoid fees, ask for payment outside Stripe, share your personal payment handles (Venmo, PayPal, Zelle, etc.) in listings or messages on So You Sew, or use the Service to drive buyers to a competing marketplace. Doing so is grounds for suspension and forfeiture of pending payouts.
9. Trust and safety; suspension
So You Sew may, in its reasonable discretion: warn you; remove individual listings; flip listings to "pending review"; restrict your account features; downgrade your risk tier; suspend your seller privileges; or terminate your account, in each case for violation of the Agreements, for a pattern of buyer complaints or disputes, for fraud, for unsafe behavior, or as required by law. We operate a strike system documented in the Community & Marketplace Rules. Suspended sellers may not create new accounts to circumvent enforcement.
10. Stripe Connected Account Agreement
Your use of Stripe Connect is also governed by the Stripe Connected Account Agreement and the Stripe Services Agreement. You are responsible for keeping your Stripe account in good standing, including supplying required information for KYC and tax (1099-K, 1099-NEC, equivalents). If Stripe restricts your account, So You Sew may not be able to release payouts.
11. Recordkeeping
You agree to retain records of your sales for the period required by your local tax authorities (commonly 3–7 years in the U.S.). So You Sew retains order records for at least 7 years per the Privacy Policy.
12. Indemnification
You agree to defend, indemnify, and hold harmless So You Sew, its affiliates, officers, directors, employees, and agents from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of (a) your listings or sales, (b) products you sold, (c) your violation of any law, third-party right, or the Agreements, or (d) your interactions with buyers.
13. Termination of seller status
You may stop selling at any time by closing your listings; existing orders must still be fulfilled. So You Sew may terminate your seller status as described in Section 9 of this Seller Agreement and Section 12 of the Terms of Service. Sections 4 (for in-flight orders), 6, 7, 8, 11, 12 survive termination.
14. Changes
We may update this Seller Agreement with at least 30 days' notice for material changes. Continued use of the marketplace after the effective date constitutes acceptance.
